Agreement to Terms
By engaging the services of SolvEdge ("Company", "we", "us"), you ("Client", "you") agree to be bound by these Terms & Conditions. These terms apply to all services provided by us, including but not limited to our AI Kickstarter, Foundational AI Readiness, AI-Driven Performance, and Strategic Growth Partnership packages.
Client Responsibilities
To ensure the effectiveness of our services, the Client agrees to

Provide accurate and complete information necessary for the project.

Grant timely access to required data sources, platforms, and ad accounts.

Provide timely feedback and approvals on deliverables and strategies.
Fees and Payment
Our fees are structured according to the service package agreed upon in your proposal, which may include One-Time Project Fees, Monthly Retainers, or Value-Based Pricing models. Unless otherwise specified, project fees require a 50% upfront deposit. Invoices are due upon receipt and are subject to late fees if not paid within 30 days.
Confidentiality
Both parties agree to maintain the confidentiality of all proprietary information shared during the engagement. The Client's business data, customer lists, and financial information will be treated as strictly confidential. Likewise, SolvEdge's proprietary methodologies, software, and AI models are confidential information of the Company.
Intellectual Property

Client's IP: You retain full ownership of your pre-existing intellectual property, including your brand assets, logos, and raw data.

SolvEdge's IP: We retain full ownership of our proprietary tools, processes, software, and AI algorithms used to deliver our services.

Deliverables: Upon full payment, the Client will own the final, completed deliverables (e.g., reports, ad creatives, strategic roadmaps).
Limitation of Liability
SolvEdge agrees to perform all services in a professional and workmanlike manner. However, we do not guarantee specific business outcomes or ROI, as results are subject to market conditions and other factors beyond our direct control. Our liability for any claim arising from our services is limited to the total fees paid by the Client for the specific service in question.
Term and Termination
The term of the agreement will be specified in the service proposal. For retainer services, either party may terminate the agreement with 30 days' written notice. The Company reserves the right to terminate the agreement immediately if the Client breaches these terms.
Governing Law
These Terms & Conditions shall be governed by and construed in accordance with the laws of Thailand.
